Terms of Service

1. Acceptance of Terms

By accessing or using GoodPostal ("Service"), operated by Slate and Pixel LLC d/b/a GoodPostal ("we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Slate and Pixel LLC d/b/a GoodPostal. By creating an account, accessing the Service, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Cookie Policy, and Refund Policy, each of which is incorporated herein by reference.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Service Description

GoodPostal is a multi-tenant email marketing platform that provides:

  • Email campaign creation and management: a visual drag-and-drop editor and code editor for designing email templates and campaigns.
  • Connect-Your-Own Sending Service model - you connect your own email sending service (SendGrid, Mailgun, Postmark, Amazon SES, SMTP2GO, or Mailtrap; generic SMTP is available on paid plans by request) and GoodPostal sends emails through your chosen service. GoodPostal does not send emails directly; we facilitate sending through your connected sending service.
  • Contact and list management: import, organize, and segment your email contacts and subscriber lists.
  • Campaign analytics - open tracking (via tracking pixels), click tracking (via link redirection), bounce monitoring, and complaint handling through sending service webhook integrations.
  • Multi-tenant workspaces: each account operates within an isolated workspace (tenant). Your data is logically separated from other users' data at the application and database level.
  • Subscription form embeds: embeddable forms for collecting subscribers on your website, with single or double opt-in support.
  • REST API: a programmatic interface (REST API v1) for managing contacts, campaigns, templates, and analytics. API access is authenticated via Bearer token (API key) and is available on all plans. The API enables integration with third-party tools, AI assistants, and custom workflows.

The Service is provided on an "as available" basis. We do not guarantee any specific uptime or service level. Email delivery depends on your email sending service and is outside of our direct control.

Demonstration content shown on our website and in product demos, including the fictional brand Greenleaf Studios, is created solely to illustrate the Service. Any resemblance to actual businesses, products, or addresses is purely coincidental.

4. Account Registration and Workspaces

4.1 Account Creation

To use the Service, you must register for an account by providing a valid email address and creating a password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Workspaces

Each account is associated with a workspace (tenant). The workspace owner is responsible for managing team member access and permissions, the content sent through the workspace, compliance with all applicable email marketing laws, and the accuracy and legality of all contact data stored in the workspace.

4.3 Account Security

You agree to immediately notify us at support@goodpostal.com of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials. We strongly recommend enabling two-factor authentication (2FA).

5. API Usage Terms

GoodPostal provides a REST API (v1) for programmatic access to the Service. The following terms apply to all API usage:

5.1 Authentication and Key Security

API access requires a Bearer token (API key) generated from your workspace settings. You are responsible for keeping your API keys confidential. Do not share API keys publicly, embed them in client-side code, or commit them to public repositories. If you believe an API key has been compromised, revoke it immediately from your workspace settings and generate a new one.

5.2 Rate Limits

API requests are rate-limited per API key (currently 10,000 requests per hour per key for active workspaces). We may adjust these limits to protect the Service. Rate limit headers are included in API responses. Requests that exceed rate limits will receive a 429 (Too Many Requests) response.

5.3 Automated Sending

Campaigns created through the API are saved as drafts by default and require explicit action to send. You remain fully responsible for all content sent through the API, including content generated by AI assistants or automated workflows. All campaigns sent via the API are subject to the same Acceptable Use Policy, anti-spam requirements, and plan limits as campaigns sent through the visual interface.

5.4 Prohibited API Usage

You may not use the API to:

  • Circumvent or exceed your subscription plan limits (sending rates, contact limits, or team seat limits)
  • Scrape, crawl, or harvest data from the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Resell or redistribute API access to third parties without our written consent

5.5 API Changes and Availability

We may modify, deprecate, or discontinue API endpoints with reasonable notice. The API is provided on an "as available" basis, and we do not guarantee specific uptime or response times. We reserve the right to revoke API access for any account that violates these Terms or engages in abusive usage patterns.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, including but not limited to:

  • CAN-SPAM Act (United States): All commercial emails must include a valid physical postal address, a clear and conspicuous unsubscribe mechanism, accurate "From" and "Subject" headers, and identification as an advertisement where required. Unsubscribe requests must be honored within 10 business days.
  • GDPR (European Union): If you send emails to individuals in the EU/EEA, you must have a lawful basis for processing personal data (such as consent), honor data subject rights, and comply with all applicable GDPR requirements. A Data Processing Agreement is available for GDPR compliance.
  • CASL (Canada): If you send commercial electronic messages to Canadian recipients, you must obtain express or implied consent, clearly identify yourself, and provide a working unsubscribe mechanism.
  • CCPA/CPRA (California): If you collect personal information from California residents, you must comply with the California Consumer Privacy Act and the California Privacy Rights Act, including honoring consumer rights to access, delete, and opt out of the sale or sharing of personal information.

You are solely responsible for understanding and complying with all applicable email marketing and data protection laws in the jurisdictions where your recipients are located. GoodPostal provides tools to facilitate compliance (such as unsubscribe handling and consent tracking) but does not provide legal advice and cannot guarantee your compliance.

7. Prohibited Content and Conduct

You may not use the Service to send, distribute, or store:

  • Spam: unsolicited bulk email, messages to purchased or scraped lists, or emails to recipients who have not opted in to receive your communications.
  • Phishing or fraud: emails designed to deceive recipients into revealing personal information, credentials, or financial details.
  • Malware: emails containing viruses, trojans, ransomware, spyware, or any malicious code.
  • Illegal content: any content that violates applicable local, state, national, or international law.
  • Hate speech: content that promotes violence or discrimination against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics.
  • Deceptive content: misleading subject lines, spoofed sender information, or fraudulent claims.
  • Adult content: pornographic or sexually explicit material, unless you have obtained prior written approval from GoodPostal.

Violation of this section may result in immediate account suspension or termination without notice or refund.

8. User Responsibilities

8.1 Sending Service Compliance

You are responsible for complying with your email sending service's terms of service and acceptable use policies. GoodPostal is not responsible for any actions taken by your sending service, including account suspension, delivery throttling, or rejection of emails. You are responsible for properly configuring your sending service credentials and maintaining valid API keys or SMTP credentials.

8.2 List Hygiene

You must maintain clean, permission-based email lists. This includes promptly removing bounced email addresses and unsubscribed contacts, only sending to contacts who have given verifiable consent, regularly cleaning your lists to remove invalid or inactive addresses, and monitoring your bounce and complaint rates. We reserve the right to suspend accounts with excessive bounce rates (above 5%) or complaint rates (above 0.1%).

8.3 Content Accuracy

You are solely responsible for the accuracy, legality, and appropriateness of all content you create, upload, or send through the Service.

9. Intellectual Property

9.1 Your Content

You retain all ownership rights to content you create, upload, or send through the Service, including email templates, contact lists, campaign content, and images ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit Your Content solely for the purpose of providing the Service to you.

9.2 Our Platform

GoodPostal and its licensors retain all rights, title, and interest in the Service, including all software, design, branding, documentation, and proprietary technology. You may not copy, modify, reverse engineer, decompile, or create derivative works of any part of the Service.

9.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, non-exclusive, royalty-free license to use and incorporate that feedback without obligation to you.

10. Payment Terms

10.1 Subscription Plans

GoodPostal offers a GoodPostal subscription plan, with a discounted GoodPostal Nonprofit plan for verified 501(c)(3) organizations. Current pricing is available on our Pricing page. All prices are listed in United States Dollars (USD).

10.2 Billing

All payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selection) until you cancel. Billing occurs at the beginning of each billing period.

10.3 Send Processing Fees

Every paid plan includes a usage charge for the emails you send, currently $0.05 per 1,000 emails, counted from the first email. This charge is separate from your plan price and is invoiced monthly in arrears, on annual plans as well as monthly ones.

If you are on an annual plan, this means you receive two kinds of invoice: your plan price once a year, and a send processing invoice at the end of each month in which you sent email. Months in which you send nothing produce no send processing invoice.

10.4 Plan Changes

You may move from monthly to annual billing, or cancel, at any time from the Billing page in your workspace. Payment methods and past invoices are managed in the Stripe Customer Portal, which you reach from the same page.

10.5 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment cannot be collected after reasonable attempts, your account may be paused (view-only) until payment is resolved.

10.6 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any taxes, duties, or government levies imposed in connection with your use of the Service.

11. GoodPostal Nonprofit Plan Terms

GoodPostal offers the GoodPostal Nonprofit plan, a discounted version of the GoodPostal plan, to verified 501(c)(3) tax-exempt organizations. To qualify, you must submit your Employer Identification Number (EIN) through the Billing section of your workspace. We verify 501(c)(3) status against the IRS Business Master File. Verification typically takes 1-2 business days.

We reserve the right to reverify nonprofit status periodically. If your organization loses its 501(c)(3) status, you must notify us and your plan will revert to standard pricing.

12. Refund Policy

Our refund terms are described in our Refund Policy. In summary, new subscribers are eligible for a full refund within 14 days of their first payment. After 14 days, no refunds are issued for partial billing periods.

13. Data Handling and Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge and agree to our data practices as described therein.

You acknowledge that GoodPostal uses tracking technologies (open-tracking pixels and click-tracking redirects) in emails sent through the Service to provide campaign analytics. These tracking mechanisms are disclosed in our Privacy Policy, and you are responsible for disclosing email tracking to your own recipients as required by applicable law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOODPOSTAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

GoodPostal is not liable for email delivery failures, sending service outages, or actions taken by your email sending service. Email delivery is dependent on your sending service and factors outside our control, including recipient spam filters, domain reputation, and internet connectivity.

15. Indemnification

You agree to indemnify, defend, and hold harmless GoodPostal, its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Service; your violation of these Terms; your violation of any applicable law, regulation, or third-party right; the content you send through the Service; or your failure to comply with email marketing laws (including CAN-SPAM, GDPR, CASL, or CCPA).

16. Termination

16.1 By You

You may cancel your account at any time from your workspace billing settings or by contacting us at support@goodpostal.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of your paid period.

16.2 By Us

We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in prohibited conduct, fail to pay applicable fees, use the Service in a way that could harm us or other users, or are required by law to do so. We may also discontinue or modify the Service at any time with reasonable notice.

16.3 Effect of Termination: Workspace Deletion and Data Retention

When a workspace owner deletes a workspace from the Danger Zone in workspace settings, the following sequence applies:

a. 30-day soft-delete grace period

Upon deletion, your workspace and all data within it are immediately hidden but retained for 30 days. During this period, your Stripe subscription is automatically paused. You will not be charged, and no service fees accrue. This grace period exists to allow you to recover from accidental deletions, return after a planned pause, or restore access if a team member deleted the workspace by mistake.

b. Self-serve restoration

At the time of deletion, GoodPostal sends a restoration link to the workspace owner's email address. The link is a single-use signed URL valid for 30 days. To restore, click the link, confirm your email address, and re-enter your password. Restoration immediately resumes your paused subscription at the same plan, restores access to all workspace data, and logs you back in.

c. Support-assisted restoration

If you have lost access to the email address on file, forgotten your password, or otherwise cannot use the self-serve link, contact privacy@goodpostal.com from any email address you can prove ownership of. We will verify your identity (typically via Stripe billing records, the original workspace creation email, or other reasonable proof) and manually restore the workspace on your behalf, provided the request is received before the 30-day grace expires.

d. Automatic permanent deletion after 30 days

If no restoration occurs within 30 days, the following actions execute automatically and cannot be reversed:

  • Your Stripe subscription is cancelled immediately. Any remaining paid time is forfeited.
  • All workspace data is permanently deleted from our primary database and replicas. This includes: contacts and contact group memberships, custom fields and subscription consent records, email templates and template categories, campaigns and scheduled sends, sender identities, encrypted email sending service credentials (the keys you provided when connecting SendGrid, Mailgun, Postmark, Amazon SES, SMTP2GO, Mailtrap, or SMTP), images and uploaded media, subscription form embeds, campaign analytics events (opens, clicks, bounces, complaints), webhook subscriptions and webhook delivery history, API keys, team member memberships and outstanding team invitations, brand and design settings, and custom tracking domains. For the full list of categories deleted, see Privacy Policy §8.2.
  • A final confirmation email is sent to the workspace owner.

e. Records we retain beyond the workspace

A limited set of records survives workspace deletion for compliance reasons:

  • Billing records (invoices and payment history) are retained in Stripe and our tax and accounting systems for up to seven (7) years under our recordkeeping policy. The corresponding tenant rows in our application database are deleted with the workspace.
  • Server access logs are retained for ninety (90) days for security and abuse-prevention purposes.
  • Workspace deletion and restoration audit logs are retained for up to seven (7) years under our compliance, tax/accounting, security, and fraud-defense recordkeeping policies. Where the record documents a CCPA request, we retain request/response records as required by 11 CCR §7101. We may also retain limited records where reasonably necessary for security and integrity (CCPA §1798.105(d)(2)), to comply with a legal obligation (CCPA §1798.105(d)(8)), for tax and accounting records material to tax administration (26 CFR §1.6001-1), or for fraud investigation, abuse defense, and legal claims. These records include the workspace name and slug at the time of the event, the workspace owner's email address at the time of deletion, the action taken (deleted, restored, or purged), the actor who performed the action (the workspace owner, a GoodPostal administrator, or our automated purge system), the IP address and browser user agent of the actor where available, and the date and time of the event. Audit log records are never used for marketing, analytics, advertising, or profiling. See Privacy Policy §8.3 for the full description.

None of these categories contain workspace content, contact data, or email send history.

f. Erasure requests (GDPR Article 17 / CCPA §1798.105)

The 30-day soft-delete grace is GoodPostal's standard product deletion flow. Verified GDPR Article 17 and CCPA §1798.105 (right to delete) requests are handled by our team within the legal response windows that apply to your jurisdiction: one month under GDPR (per Article 12), and the 45-day response window in CCPA §1798.130(a)(2). Verified requests are processed without undue delay and may be processed through our standard 30-day soft-delete grace, subject to identity verification and any lawful retention exemptions (such as the billing-records exemption described in subsection e). To open a request, email privacy@goodpostal.com with the subject "Privacy Rights Request" and provide reasonable identity verification.

Provisions that by their nature should survive termination will survive, including Sections 9, 14, 15, and 18.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email (sent to the address associated with your account) and by posting the updated Terms on the Service with a new "Last Updated" date. Changes become effective 30 days after notification, unless the changes are required by law, in which case they may take effect immediately.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your account.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

18.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding. Either party may bring claims in small claims court if the claims qualify.

18.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

19. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, and DPA (if applicable), constitute the entire agreement between you and GoodPostal regarding the Service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Force Majeure. We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including natural disasters, war, terrorism, government action, or internet infrastructure failures.
